These Terms of Service ("Terms") govern your use of RetainLayer, a product operated by 10ex dev, LLC ("10ex dev", "we", "us"). By creating an account or using RetainLayer, you agree to these Terms. If you are using RetainLayer on behalf of an organization, you agree to these Terms for that organization.
1. The service
RetainLayer helps agencies and teams see client-retention risk by connecting to tools you already use (such as email, meeting notes, and support systems) and analyzing those signals. The service is provided on an ongoing, evolving basis, and features may change over time.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for the activity under your account and for keeping your credentials secure. You must provide accurate information and verify your email address before connecting integrations.
3. Trials, subscriptions, and billing
RetainLayer offers a free trial. After the trial, continued use requires a paid subscription, billed in advance on a recurring basis through our payment processor. Plans renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.
4. Acceptable use
You agree not to misuse the service: no unlawful activity, no attempts to breach security or access data you are not authorized to access, no reverse engineering, and no use that infringes the rights of others. You are responsible for ensuring you have the right to connect the accounts and data you bring into RetainLayer.
5. Your data
You own the data you connect to RetainLayer. You grant us a limited license to process that data solely to provide and improve the service for you, including analyzing it with the third-party AI providers we use. We handle your data as described in our Privacy Policy.
6. Third-party services
RetainLayer connects to and relies on third-party services (for example, your email and support providers, our hosting and payment processors, and AI model providers). Your use of those services is governed by their own terms, and we are not responsible for them.
7. Intellectual property
RetainLayer, including its software, design, and content (other than your data), is owned by 10ex dev, LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
8. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind. RetainLayer surfaces signals and suggestions to help you, but it does not guarantee any particular outcome, and you remain responsible for your business decisions.
9. Limitation of liability
To the maximum extent permitted by law, 10ex dev, LLC will not be liable for any indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
10. Termination
You may stop using RetainLayer at any time. We may suspend or terminate access if you violate these Terms or to protect the service. On termination, your right to use the service ends, and we will handle any remaining data as described in our Privacy Policy.
11. Changes
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know. Continued use after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.
